Wholesale Partner Terms
Effective: February 2025
1. Overview
These terms govern the wholesale partnership between you ("Partner") and Moonshot Medical and Performance ("Moonshot"). By creating a partner store, you agree to these terms.
2. Pricing Model
- Retail Price: The price charged to your customers at checkout.
- Wholesale Price: The price Moonshot charges you for each diagnostic service delivered.
- Your Margin: Retail price minus wholesale price. This margin is fixed regardless of promotional pricing.
- If Moonshot runs a promotion that reduces the retail price, the wholesale price is reduced proportionally so your margin remains unchanged.
3. Payment Flow
- Customers pay the retail price via Stripe Checkout on your connected Stripe account.
- Moonshot charges your billing card on file the wholesale price after the diagnostic service is delivered.
- You are responsible for maintaining a valid payment method on file.
4. Stripe Connect
- You must connect a Stripe account to accept customer payments.
- All transactions are processed through Stripe and subject to Stripe's terms of service.
- Moonshot does not hold or process customer payment information directly.
5. Service Delivery
- All diagnostic services (DEXA scans, blood panels, etc.) are performed by Moonshot's clinical team at our facility.
- Customers book their own appointments after purchase.
- Results are reviewed by a licensed medical professional.
6. Partner Responsibilities
- Accurately represent the services offered through your store.
- Do not make medical claims beyond what Moonshot authorizes.
- Maintain current contact and billing information.
- Respond to customer inquiries related to purchases through your store.
7. Liability
- Moonshot is responsible for the quality and safety of all diagnostic services performed.
- Partner is not liable for clinical outcomes or medical decisions.
- Partner is liable for any misrepresentation of services to customers.
8. Termination
- Either party may terminate this partnership at any time with 30 days written notice.
- Upon termination, outstanding wholesale charges must be settled.
- Moonshot may suspend or terminate a partner store immediately for violations of these terms.
9. Modifications
Moonshot may update these terms with 14 days notice. Continued use of the partner portal constitutes acceptance of updated terms.
